YOYO CARS LIMITED - USER AGREEMENT & PRIVACY POLICY

This User Agreement and Privacy Policy ("Agreement") is a legally binding contract between you ("User," "you," "Driver," or "Passenger") and YOYO CARS LIMITED ("YOYO CARS," "we," "our," or "us"). It governs your access to and use of the YOYO CARS mobile application, website, and related services (collectively, the "Platform" or "Service").

By registering, accessing, or using the Platform, you acknowledge that you have read, understood, and irrevocably agree to be bound by all the terms of this Agreement. If you do not agree to these terms, you must not use the Platform and must delete the App immediately.

PART A - TERMS OF USE

1. Nature of Service and Relationship of Parties

1.1 YOYO CARS is solely a technology service provider that operates an online platform and related services to connect users seeking transportation with independent third-party providers of such services. YOYO CARS IS NOT A TRANSPORTATION CARRIER. IT DOES NOT OWN, EMPLOY, ENDORSE, RECOMMEND, OPERATE, MANAGE, OR CONTROL ANY VEHICLES OR DRIVERS OR THE TRANSPORTATION SERVICES PROVIDED. Drivers are not our employees, agents, or partners.

1.1a Platform Role Disclaimer: You expressly acknowledge and agree that we are only a technology platform that connects drivers and passengers. We are not a party to any agreement or transaction made between users (drivers and passengers).

1.2 YOYO CARS IS NOT A PARTY TO ANY AGREEMENT OR TRANSACTION BETWEEN DRIVERS AND PASSENGERS. We are not responsible for, and disclaim all liability arising from, the acts or omissions of any User. The provision of transportation services by Drivers to Passengers is a direct transaction between them, and YOYO CARS's role is limited to facilitating the connection via the Platform.

1.3 Vehicle Ownership, Authorization, and Driver Liability

The Platform is used by Drivers who operate vehicles they may or may not own. YOYO CARS LIMITED DOES NOT OWN, LEASE, RENT, OR HAVE ANY POSSESSORY OR PROPRIETARY INTEREST IN ANY VEHICLES USED BY DRIVERS ON THE PLATFORM.

By registering as a Driver and using a vehicle on the Platform, you (the Driver) represent, warrant, and covenant that:

  • (i) You are the legal owner of the vehicle; OR
  • (ii) You have obtained the express, full, and unconditional authorization from the legal owner (whether an individual, company, organization, or government entity) to use the specific vehicle, vehicle photos or any details associated to vehicle ownership for commercial transportation services on the YOYO CARS platform.

THE DRIVER IS SOLELY AND ABSOLUTELY RESPONSIBLE FOR ENSURING THAT THE USE OF THE VEHICLE ON THE PLATFORM IS FULLY AUTHORIZED AND DOES NOT VIOLATE ANY AGREEMENT WITH OR POLICY OF THE VEHICLE'S OWNER, INSURER, OR ANY THIRD PARTY.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOYO CARS LIMITED SHALL NOT BE HELD LIABLE OR RESPONSIBLE for any claims, demands, lawsuits, damages, losses, or injuries brought by the legal owner of a vehicle, a company, an organization, a government entity, an insurer, or any third party arising from or related to the Driver's use of a vehicle on the Platform. This includes, but is not limited to, claims for unauthorized use, conversion, trespass to chattels, breach of contractual duty, or any other cause of action.

THE DRIVER HEREBY AGREES TO DEFEND, INDEMNIFY, AND HOLD HARMLESS YOYO CARS LIMITED from and against any and all such claims. The Driver assumes full and complete liability and responsibility for all risks and legal consequences associated with their choice of vehicle used on the Platform.

1.4 Independent Contractor Status of Drivers. Drivers are independent third-party contractors and not employees, agents, joint venturers, or partners of YOYO CARS for any purpose. Drivers retain full and absolute discretion and control over the manner, means, and methods by which they perform transportation services. Drivers are solely responsible for determining the hours they work and are free to use other platforms. YOYO CARS does not provide any tools, equipment, or benefits, and Drivers are solely responsible for paying all taxes, levies, and statutory contributions due on their earnings as required by Ugandan law, including but not limited to the Income Tax Act and the National Social Security Fund (NSSF) Act.

2. Eligibility & Registration

2.1 You must be at least 18 years old and legally competent to enter into a binding contract under Ugandan law.

2.2 You must register using your own Ugandan phone number, which must be registered in your exact legal name as it appears on your National ID. You consent to YOYO CARS verifying this information against relevant databases.

2.2a Verification Limitations: YOYO CARS conducts limited verification checks, which for Drivers include verifying the National ID submitted by the user. HOWEVER, WE DO NOT AND CANNOT GUARANTEE THE ACCURACY, VALIDITY, OR AUTHENTICITY OF ANY USER-SUBMITTED INFORMATION. WE DO NOT CONDUCT CRIMINAL BACKGROUND CHECKS, HISTORY SCREENINGS, OR VEHICLE INSPECTIONS. USER VERIFICATION IS NOT A COMPLETE SAFETY GUARANTEE.

2.2b Accuracy of User Information. You represent and warrant that all information you provide during registration and verification, including your National ID, Driver's License, and phone number, is accurate, truthful, and current. You are solely responsible for updating this information and for any liability arising from the provision of false, inaccurate, or outdated information. YOYO CARS may suspend or terminate your account based on the provision of such inaccurate information.

2.3 You are solely responsible for all activities conducted through your account. You must immediately notify us of any unauthorized use of your account.

2.4 YOYO CARS may suspend, restrict, or terminate your account at its sole and absolute discretion, with or without cause or notice, including for any violation of this Agreement.

2.5 One Account Per User; Identity Verification Mandate

You are strictly prohibited from registering, operating, or controlling more than one user account on the Platform. EACH USER IS PERMITTED ONE AND ONLY ONE ACCOUNT, WHICH MUST BE REGISTERED USING A SINGLE, UNIQUE UGANDA PHONE NUMBER. This phone number must be registered in your exact legal name as it appears on your National ID, as required under clause 2.2. Any attempt to create multiple accounts for the same role (Driver/Passenger), is a material breach of this Agreement and will result in the immediate and permanent termination of all associated accounts, the forfeiture of any and all balances, and may lead to legal action. A driver may create an account as a passenger using the same phone number and a passenger may create an account as a driver using the same phone number.

2.6 Exclusive Payment and Withdrawal Authorization

All financial transactions, including but not limited to the receipt of payments for completed trips (for Drivers), withdrawals of commissions, earnings, or any other rewards or funds credited to your in-app wallet, MUST SOLELY AND EXCLUSIVELY be processed through and to the same Uganda phone number that is registered to your user profile and verified under clause 2.2. You expressly waive any right to request withdrawals or payments to any other phone number, bank account, financial instrument, or third party. YOYO CARS SHALL BEAR ABSOLUTELY NO LIABILITY OR OBLIGATION for any loss of funds, misdirected payments, or fraud resulting from your failure to adhere to this strict requirement or from any unauthorized access to your registered phone number, which remains your sole responsibility.

3. Payments and Financial Terms

3.1 Passengers must pre-load funds into their YOYO CARS in-app wallet via mobile money. All wallet funds are held by our payments aggregator, not as a trustee or fiduciary, but as the holder of the funds until a Trip is completed.

3.2 Payment Aggregator deducts a service fee for the use of the Platform before remitting payment to Drivers. This fee is disclosed within the App and is subject to change at our discretion.

3.3 Payment to Drivers is strictly contingent upon the successful completion of a Trip as verified by the Platform's systems. A "successful Trip" means the Passenger has been transported to the designated destination and the Trip has been concluded via the App. NO PAYMENT WILL BE MADE FOR ANY INCOMPLETE TRIP, CANCELLED TRIP, OR TRIP WHERE THE VEHICLE BREAKS DOWN, IS INVOLVED IN AN ACCIDENT, OR OTHERWISE FAILS TO COMPLETE THE JOURNEY FOR ANY REASON.

3.4 YOYO CARS payment aggregators act as a limited payment collection agent for the Driver to facilitate payment. YOYO CARS IS NOT RESPONSIBLE OR LIABLE FOR MOBILE MONEY TRANSACTION ERRORS, REVERSALS, DELAYS, LOSSES, OR ANY ISSUES ARISING FROM THE MOBILE MONEY NETWORK OR THE USER'S TELECOMMUNICATIONS PROVIDER.

4. User Conduct, Safety, and Assumption of Risk

4.1 Users must comply with all applicable Ugandan laws and regulations and act with respect towards one another.

4.1a User Responsibilities:

Drivers must: Have a valid driving license and comply with all Ugandan traffic laws. Ensure their vehicle is roadworthy, properly insured, and legally authorized for use on the Platform. Not engage in reckless driving, speeding, overloading, or any form of misconduct.

Passengers must: Exercise their own judgment and discretion when choosing a ride. Verify the driver and vehicle details against the information provided in the App before commencing the trip.

4.2 Strictly Prohibited Conduct includes, but is not limited to: violence, harassment, intimidation, theft, fraud, assault, sexual misconduct, possession of weapons or illegal substances, damaging property, discrimination, or transporting illegal goods or unauthorized passengers, or any other unlawful activity.

4.2(x) Using the Platform for any purpose that requires a specific license, permit, or registration (e.g., transport of regulated goods, provision of ambulance or courier services) without having obtained and verified such license with YOYO CARS.

4.3 YOYO CARS DOES NOT CONDUCT CRIMINAL BACKGROUND CHECKS OR VERIFY THE CHARACTER OF USERS. While we may use tools to enhance safety, YOU ACKNOWLEDGE AND AGREE THAT USING THE SERVICE INVOLVES INHERENT RISKS, INCLUDING BUT NOT LIMITED TO THE RISK OF PHYSICAL HARM, ASSAULT, THEFT, ACCIDENT, OR DEATH. You voluntarily assume all such risks and agree that YOYO CARS shall not be liable for any such incidents.

4.3a Assumption of Risk: BY USING THE PLATFORM, YOU (WHETHER DRIVER OR PASSENGER) EXPLICITLY ACKNOWLEDGE AND ACCEPT FULL AND SOLE RESPONSIBILITY FOR ALL RISKS ASSOCIATED WITH CARPOOLING AND TRANSPORTATION SERVICES. THIS INCLUDES, BUT IS NOT LIMITED TO, ANY AND ALL INJURIES, LOSSES, DAMAGES (TO PERSON OR PROPERTY), OR INCIDENTS THAT MAY OCCUR BEFORE, DURING, OR AFTER A RIDE, HOWEVER CAUSED. YOU ACKNOWLEDGE THAT CARPOOLING INVOLVES INHERENT RISKS INCLUDING ACCIDENTS, THEFT, HARASSMENT, AND OTHER FORMS OF MISCONDUCT.

4.4 In case of an emergency, illegal activity, or safety incident, YOU SHOULD IMMEDIATELY CONTACT THE UGANDA POLICE FORCE (999) AND OTHER RELEVANT EMERGENCY SERVICES. YOYO CARS is not a substitute for emergency services.

4.5 YOYO CARS reserves the right to ban or suspend accounts for any violation of this Agreement and to cooperate fully with law enforcement in any investigation.

4.6 Exclusive Ride Policy

By accepting an Executive Ride request from a passenger, the driver acknowledges and agrees that all seats in the assigned vehicle are exclusively reserved for that passenger (and their invited occupants, if any). The driver shall not permit any additional occupants in the vehicle without the prior consent of the passenger.

In the event that a driver allows an unauthorized occupant during the trip, the passenger reserves the right to cancel the ride immediately without any compensation to the driver. YOYO CARS LTD may impose a penalty on the driver for such violations, as determined by company policy.

5. Limitation of Liability & Comprehensive Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, YOYO CARS LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO:

  • ANY ACCIDENTS, INJURIES, DEATH, OR PROPERTY DAMAGE occurring before, during, or after a Trip, howsoever caused.
  • ANY ASSAULT, HARASSMENT, THEFT, RAPE, FRAUD, OR ANY OTHER CRIMINAL OR TORTIOUS MISCONDUCT committed by any User or third party.
  • The mechanical condition, safety, roadworthiness, insurance status, or legal compliance of any vehicle.
  • VEHICLE BREAKDOWNS, DELAYS, CANCELLATIONS, OR ROUTE DEVIATIONS.
  • UNAUTHORIZED USE OF YOUR ACCOUNT OR ANY SECURITY BREACH not directly and solely caused by our gross negligence.
  • ANY ERRORS, DOWNTIME, BUGS, OR INTERRUPTIONS in the Platform or mobile money systems.
  • ANY LOSS OR DAMAGE TO PROPERTY left in a vehicle by a Passenger.
  • ANY DISPUTES BETWEEN DRIVERS AND PASSENGERS.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR SAFETY. YOYO CARS makes no guarantee regarding the reliability, quality, or availability of the Service or any Driver.

ALL RIDES ARE UNDERTAKEN AT YOUR SOLE AND ABSOLUTE RISK.

6. Indemnity

You agree to DEFEND, INDEMNIFY, AND HOLD HARMLESS YOYO CARS LIMITED, its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, losses, liabilities, damages, lawsuits, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • (i) your use of the Platform or services obtained through your use of the Platform;
  • (ii) your breach or violation of any of these Terms;
  • (iii) your violation of the rights of any third party, including another User;
  • (iv) ANY CLAIM ALLEGING THAT OUR NEGLIGENCE OR MISCONDUCT CAUSED OR CONTRIBUTED TO THE HARMFUL ACTS OF ANOTHER USER.

This indemnification obligation will survive the termination of your account and this Agreement.

7. Dispute Resolution and Governing Law

7.1 Disputes between Drivers and Passengers must be resolved directly between the parties involved. YOYO CARS is under no obligation to become involved in such disputes but may, at its sole discretion, attempt to facilitate a resolution.

7.2 Any dispute arising from this Agreement or your use of the Service shall first be attempted to be resolved through good-faith negotiations. Should this fail, the dispute shall be referred to mediation in Kampala, Uganda, before resorting to litigation.

7.2a Mandatory Binding Arbitration. ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, OR THE USE OF THE PLATFORM OR SERVICES, SHALL BE DETERMINED BY MANDATORY, BINDING ARBITRATION IN KAMPALA, UGANDA, RATHER THAN IN COURT. THE ARBITRATION SHALL BE ADMINISTERED BY THE [INSERT REPUTABLE ARBITRATION INSTITUTION, E.G., UGANDA COMMERCIAL COURT DIVISION OR A SPECIFIED ARBITRATION CENTRE] UNDER ITS APPLICABLE RULES. THE ARBITRATOR'S DECISION SHALL BE FINAL AND BINDING AND MAY BE ENTERED AS A JUDGMENT IN ANY COURT OF COMPETENT JURISDICTION.

7.3a No Class Actions or Representative Proceedings. YOU AND YOYO CARS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and YOYO CARS agree, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.

7.3b This Agreement and any dispute arising therefrom shall be governed by and construed in accordance with the laws of the Republic of Uganda, without regard to its conflict of law principles.

7.4 You irrevocably submit to the exclusive jurisdiction of the courts of the Republic of Uganda for the resolution of any such disputes.

PART B - PRIVACY POLICY

8. Information We Collect

We collect the information as stated, including National ID details for KYC verification, which is critical for your operational model and safety.

9. How We Use Your Information

We use your data for the purposes stated, including safety and fraud prevention. You expressly consent to us using your data for these purposes.

10. Sharing of Information

We may share information as described. Critically, you acknowledge and agree that we may share your information with law enforcement, regulators, or other third parties without your consent when we believe in good faith that disclosure is necessary to comply with the law, protect our rights, or investigate violations of this Agreement.

11. Data Storage & Security

  • We apply security measures as stated. HOWEVER, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT THE TRANSMISSION OF DATA OVER THE INTERNET IS INHERENTLY INSECURE, AND WE CANNOT GUARANTEE THE ABSOLUTE SECURITY OF DATA TRANSMITTED TO OR HELD ON OUR SYSTEMS. You transmit your data at your own risk.

12. Data Retention

We will retain your personal data for as long as your account is active or as needed to provide the Service. Even after account closure, we will retain and use your information as necessary to comply with our legal obligations (e.g., tax laws, financial regulations), resolve disputes, enforce our agreements, and for legitimate business purposes.

13. Your Rights

You have rights under the Data Protection and Privacy Act, 2019. To exercise these rights, please contact us at: privacy@yoyoservices.com, We will respond to legitimate requests in accordance with Ugandan law.

14. Cookies and Tracking Technologies

We may use cookies and similar tracking technologies to track activity on our Platform and hold certain information. Cookies are files with a small amount of data which may include an anonymous unique identifier. You can instruct your browser to refuse all cookies or to indicate when a cookie is being sent. However, if you do not accept cookies, you may not be able to use some portions of our Service.

15. Children's Privacy

Our Service is not intended for use by children under the age of 18 ("Children"). We do not knowingly collect personally identifiable information from Children. If you become aware that a Child has provided us with personal data, please contact us. If we become aware that we have collected personal data from Children without verification of parental consent, we take steps to remove that information from our servers.

16. Changes to This Privacy Policy

We may update our Privacy Policy from time to time. We will notify you of any changes by posting the new Privacy Policy on this page and updating the "Last Updated" date at the top of this Agreement. You are advised to review this Privacy Policy periodically for any changes. Changes to this Privacy Policy are effective when they are posted on this page. Your continued use of the Platform after any such change constitutes your acceptance of the new terms.

17. Modifications to the Agreement

YOYO CARS reserves the right, at its sole and absolute discretion, to modify, amend, or replace this Agreement at any time. We will provide notice of material changes by posting the updated Agreement on the Platform and updating the "Last Updated" date. Your continued access or use of the Platform following the posting of any changes constitutes your irrevocable acceptance of those changes. If you do not agree to the modified terms, your sole and exclusive remedy is to terminate your account and cease using the Platform.

18. Acceptance

By clicking "I Agree" during sign-up, YOU EXPRESSLY CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND UNCONDITIONALLY ACCEPT ALL PROVISIONS OF THIS ENTIRE AGREEMENT, INCLUDING THE EXTENSIVE LIMITATIONS OF LIABILITY, INDEMNIFICATION OBLIGATIONS, AND ASSUMPTION OF RISK.
